Re: Prefab Home Deposit Agreement

This Prefab Home Deposit Agreement ("Agreement") is entered into on this [Today's Date], by and between [Your Name] ("Buyer") and Magdalena Homes LLC ("Seller"), collectively referred to as the "Parties."

WHEREAS Buyer intends to purchase a prefab home from Seller, as described below (the "Prefab Home"), and Seller is willing to reserve a place for the Buyer in the production line, subject to the terms and conditions set forth herein.

NOW, THEREFORE, in consideration of the promises and covenants contained herein, Buyer and Seller agree as follows:

Deposit Amount: Buyer agrees to pay a deposit in the amount of nine hundred US dollars ($2,500) to Seller (the "Deposit") to secure a place in the production line for the Prefab Home.

Deposit Transferability: The Deposit is transferable but not refundable. In the event Buyer decides not to proceed with the purchase, the Deposit may be transferred to another eligible Buyer upon written agreement between the Parties.

Estimated Delivery Time: The Seller agrees to use reasonable efforts to deliver the Prefab Home to the Buyer within 10 weeks from the effective date of this Agreement.

Purchase Price: The total purchase price of the Prefab Home is ninety-eight thousand US dollars ($98,000), payable as follows:

a. Fifty percent (50%) of the purchase price, which is forty-nine thousand US dollars ($49,000), shall be paid when the construction of the Prefab Home begins (the "Start Date").

b. The remaining fifty percent (50%) of the purchase price, which is forty-eight thousand one hundred US dollars ($46,500), shall be paid upon delivery of the Prefab Home to the Buyer.

Prefab Home Specifications: The Prefab Home shall include the following features and amenities:

1. Bathroom with sink, toilet, shower, extractor, and storage. 2. Kitchen with a refrigerator, stove, dishwasher, sink, oven, extractor, cabinets and drawers, and additional space for meal preparation. 3. Washer and dryer. 4. Loft with a queen-size mattress and small night tables, plus ladder for access. 5. Living room with an L-shaped sofa that can convert into a queen-size bed. 6. Dining counter with two stools. 7. Storage solutions, including closets, drawers, and cabinets. 8. AC (Air conditioning/heating) and water heater. 9. Electrical and plumbing systems. 10. Ten electrical outlets and ten roof lights. 11. Insulation and dehumidifier.

Cancellation: In the event the Buyer cancels this Agreement before the delivery of the Prefab Home, the Deposit shall be returned to the Buyer or transferred to an eligible Buyer, as provided in Section 2 of this Agreement. If six months pass from the date of this Agreement without the initiation of construction, the deposit shall be automatically returned to the Buyer.

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the state of California.

Entire Agreement: This Agreement constitutes the entire understanding between the Parties, superseding all prior or contemporaneous agreements, understandings, and representations. Any modifications to this Agreement must be in writing and signed by both Parties.
